Eligibility / Structure
  • OPC has one member/shareholder.
  • The Companies (Incorporation) rules were amended so an Indian citizen, whether resident in India or otherwise, can incorporate an OPC, subject to the current rules.
  • A nominee must be appointed/consent to become member on death/incapacity of the sole member.
  • Minor cannot become member/nominee or hold beneficial interest as prohibited by the rules.
  • One person cannot incorporate / be nominee in multiple OPCs beyond the rule limits.
  • Minimum one director.
  • OPC cannot be incorporated or converted into a Section 8 company.
  • Objects must be lawful and permitted for OPC.
  • No statutory minimum paid-up capital is generally required under the Companies Act framework; authorised/subscribed capital is chosen in incorporation.
